Terms of service

These terms are the agreement between your business and us for the use of Foudra MRP. We have kept them as short and plain as we can. Please read them before you sign up.

1. Who we are, and who you are

Foudra MRP ("Foudra", "the service") is provided by Kalopa Robotics Limited, a company registered in Ireland (company number 647350), registered office Somerset Studios, Aughinish, County Clare, Ireland ("we", "us").

"You" means the business that creates a Foudra account. By creating an account you accept these terms on that business's behalf, and you confirm that you are allowed to.

2. For businesses only

Foudra is a tool for businesses. It is not offered to consumers, and you may use it only for your trade, business or profession.

3. Your account

• Give us accurate details and keep them up to date on your company settings page.
• Keep passwords to yourselves. You are responsible for what happens under your account, including by the users you invite, and for the roles you give them.
• Tell us straight away if you think someone has used your account without permission.

4. The free trial

A new account gets three months free, with every feature and no payment details needed. Near the end of the trial we will remind you on screen. If you don't choose a plan, your account stops being usable when the trial ends, and your data is kept as described in section 7.

5. Plans and payment

• After the trial, Foudra costs €20 a month or €200 a year plus VAT where it applies.
• You pay in advance for each month or year. A subscription renews automatically at the end of each period until you cancel it.
• You can cancel at any time. You keep access until the end of the period you have paid for. We do not refund part-periods.
• From time to time, We may change our prices. We will give you at least 30 days' notice by email, and a new price applies only from your next renewal after that.
• If a payment fails and isn't made good, your account stops being usable at the end of the paid period, as if you had cancelled.
• We issue an invoice for every payment.

6. Your data is yours

Everything you put into Foudra (your parts, stock, suppliers, orders and files) belongs to you. You give us permission to store, copy and process it only as needed to provide the service to you.

You can export your lists from Foudra at any time.

7. When an account ends

If your trial or subscription ends, or you close your account, your account stops being usable but we keep your data for 3 months, so that you can come back, or ask us for an export. After that we delete it, including from our backups within 30 days. We keep invoices and payment records for as long as tax law requires.

8. Data protection

For the personal data in your business data (for example, your suppliers' contact details), you are the controller and we are your processor. This section is our data-processing agreement under Article 28 of the General Data Protection Regulation. We will:

• process that data only to provide Foudra to you, and on your documented instructions, which are these terms and how you use the service;
• make sure everyone who handles it is bound to keep it confidential;
• protect it with appropriate technical and organisational measures, described in our Privacy notice;
• use only the sub-processors listed in our Privacy notice, each bound by obligations at least as protective as these, and tell you before we add or change one, so you can object;
• help you respond to requests from people exercising their rights, and with your own security and data-protection obligations, as far as we reasonably can;
• tell you without undue delay if we become aware of a personal-data breach affecting your data;
• delete your data when the service ends, as in section 7, unless the law requires us to keep it;
• give you the information you reasonably need to check that we keep these promises.

Personal data you give us about yourself and your users is covered by our Privacy notice.

9. Fair use

Please don't:

• use Foudra for anything unlawful, or to store content you have no right to;
• try to get into accounts, data or systems that aren't yours, or test our security without our written agreement;
• overload the service, or use the API in a way that harms other customers;
• resell or provide Foudra to others without our agreement.

10. The demo

The live demo at demo.foudra.com is for trying Foudra out. Nothing you change there is saved. Please don't enter real personal data into it.

11. Availability and changes

We work hard to keep Foudra running and your data safe, but we can't promise the service will never be interrupted. We may need to take it offline briefly for maintenance, and will try to do so at quiet times.

Foudra will keep improving. We may change or add features. If we remove something you rely on, we will tell you in advance.

12. Our software

Foudra, its code and its design belong to us. These terms give you the right to use the service while your account is active; they don't transfer any ownership. If you send us suggestions, we may use them freely.

13. Our responsibility to you

Foudra is provided "as is". As far as the law allows, we make no promises beyond those in these terms, and we are not responsible for decisions you make based on what Foudra shows.

As far as the law allows:

• we are not liable for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss;
• our total liability to you in any 12 months is limited to the fees you paid us in those 12 months.

Nothing in these terms limits liability that the law does not allow to be limited, such as for fraud, or for death or personal injury caused by negligence.

14. Ending the agreement

You can close your account at any time by telling us. We may suspend or close an account that seriously or repeatedly breaks these terms, after warning you where we reasonably can. If we ever decide to stop offering Foudra altogether, we will give you at least 120 days' notice and refund any fees you have paid for time after the service ends.

Sections 6, 7, 8, 12 and 13 continue to apply after the agreement ends.

15. Changes to these terms

If we change these terms in a way that matters, we will email account owners at least 30 days before the change takes effect. If you don't agree with the change, you may close your account before then.

16. Law

These terms are governed by the law of Ireland, and the courts of Ireland have jurisdiction over any dispute about them.
